Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Mesher Technologies GmbH ("Mesher", "we", "us") governing your access to and use of the Mesher platform and related services (the "Service"). Please read them carefully. By using the Service, you agree to these Terms.
1. Acceptance and eligibility
By creating an account or using the Service, you accept these Terms and our Privacy Policy. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization, and "you" refers to that organization. You must be at least 16 years old and able to form a binding contract.
2. Definitions
- Service
- The Mesher platform, consoles, websites, applications, and related services.
- Account
- The credentials and workspace through which you access the Service.
- User
- Any individual who accesses the Service under an Account.
- User Content
- Any data, text, or material you submit to or generate in the Service.
- Subscription
- A paid or trial plan that determines your access to features for a billing period.
3. Your account
You must provide accurate, current information and keep it up to date. You are responsible for safeguarding your credentials and for all activity under your Account. Notify us promptly at legal@mesher.events of any unauthorized use or security breach. We are not liable for losses caused by unauthorized use you could have prevented.
4. License to use the Service
Subject to these Terms and your Subscription, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business purposes. You may not resell, sublicense, or make the Service available to third parties except as expressly permitted.
5. Fees and payment
- Pricing and plans are as shown at purchase or in your order. Fees are stated exclusive of taxes unless noted.
- We reserve the right to change our fees, plans, and features, and to introduce new charges, at any time and at our sole discretion. Unless the law requires otherwise, changes to recurring fees take effect from your next billing period or renewal; your continued use of the Service after a change takes effect means you accept the new fees, and if you do not accept them your only remedy is to cancel before they take effect.
- Subscriptions are billed in advance on a recurring basis (for example monthly or annually) according to your plan.
- Subscriptions renew automatically for the same period unless cancelled before the renewal date. You authorize us to charge your payment method for renewals.
- You are responsible for applicable taxes (such as VAT), except taxes on our net income.
- Late or failed payments may result in dunning, suspension, or termination as described in these Terms and our Refund & Cancellation Policy.
6. Intellectual property
The Service, including all software, design, and content we provide, is owned by Mesher and its licensors and is protected by intellectual-property laws. We reserve all rights not expressly granted.
You retain ownership of your User Content. You grant us a worldwide, non-exclusive license to host, process, and display User Content solely to provide and improve the Service and as you direct. You are responsible for having the rights to your User Content.
7. Acceptable use
Your use of the Service must comply with our Acceptable Use Policy. Violations may lead to suspension or termination.
8. Third-party services
The Service may integrate with or link to third-party products and services. We do not control and are not responsible for third-party services, and your use of them is governed by their own terms. Integrations are provided "as is" without warranty.
9. Disclaimer of warranties
Except as expressly stated, the Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure. Further details are in our Disclaimer.
10. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total aggregate liability arising out of or relating to the Service is limited to the amounts you paid us for the Service in the twelve (12) months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited by law (such as for fraud, death, or personal injury caused by negligence), and mandatory consumer rights remain unaffected.
11. Indemnification
You will defend, indemnify, and hold harmless Mesher and its affiliates from third-party claims, damages, and costs (including reasonable legal fees) arising from your User Content, your use of the Service, or your breach of these Terms or applicable law, except to the extent caused by us.
12. Suspension and termination
You may stop using the Service and cancel your Subscription at any time as described in the Refund & Cancellation Policy. We may suspend or terminate access if you breach these Terms, fail to pay, or create risk or legal exposure, with notice where practicable. On termination, your right to use the Service ends; we will make your User Content available for export for a limited period where required, after which it may be deleted. We may also modify, suspend, or discontinue the Service or any of its features at any time, in whole or in part, without prior notice and without liability, subject to your mandatory rights.
13. Changes to these Terms
We reserve the right to change these Terms at any time, in our sole discretion and without prior individual notice. Updated Terms take effect when we post them with a new "Last updated" date and version, and your continued use of the Service after that constitutes acceptance. It is your responsibility to review the current Terms periodically. Where a change materially affects the rights of a consumer, any mandatory advance-notice, objection, or termination rights granted by the law of your country of residence remain unaffected, and you may cancel as described in our Refund & Cancellation Policy if you do not accept the change.
14. Governing law and disputes
These Terms are governed by the laws of Germany, without regard to conflict-of-law rules. The courts of Berlin have jurisdiction over disputes, except that, where permitted, disputes may be resolved by binding arbitration, and either party may seek injunctive relief to protect its rights. Mandatory rights of consumers in their country of residence are not affected by this clause.
15. Consumer exceptions
If you use the Service as a consumer, you keep all mandatory rights under the law of your country of residence, including any statutory right of withdrawal described in our Refund & Cancellation Policy. Nothing in these Terms limits those rights.
16. General
- Severability — if any provision is unenforceable, the rest remains in effect.
- Assignment — you may not assign these Terms without our consent; we may assign them to an affiliate or successor.
- Entire agreement — these Terms and the documents they reference are the entire agreement between us regarding the Service.
- Force majeure — neither party is liable for delays or failures caused by events beyond its reasonable control.
- No waiver — failure to enforce a provision is not a waiver of it.
